Overview

Since every manufacturing, engineering and/or supply project and contract is unique, ITC provides practical, timely, commercially focused and cost effective products and services customised to your role as a manufacturer, fabricator or supplier.

ITC’s services commence with evaluating the proposed risk allocation from the out set. Our services continue throughout each stage of the manufacturing process or supply project and culminate in managing final payment claims and dealing with warranty issues.

Contracts & Agreements

ITC works with you to analyse and assess risk exposure at both an overall ‘corporate‘ level and on a ‘project-specific’ basis in order to provide cost effective project documentation customised to the project risk.

ITC will review the terms and conditions on all forms of contracts in order to recommend, and where appropriate, negotiate on your behalf incorporating project specific amendments to deliver a balance of risks and opportunities that accurately reflect your particular preferred exposure levels.

When you wish to produce your own ‘standard contract’ ITC will collaborate with all relevant stakeholders to develop customised documents that accurately reflect the way you prefer to do business.

ITC has experience and expertise in dealing with all types of contracts and agreements including:

  • manufacture only contracts and subcontracts
  • design and manufacture contracts and subcontracts
  • supply contracts
  • periodic supply contracts
  • service agreements

Claims Management & Security of Payment

Consistent and timely management of contractual requirements is critical to being in a position to claim and recover all possible entitlements and to defend claims that may be brought against you.

Managing progress and/or milestone claims to include and substantiate your entitlements is the key to maintaining cash flow and minimising disputes.

ITC combines legal knowledge with practical experience for all key issues that need to be addressed in manufacturing and supply contracts including:

  • delays and extensions of time for late delivery
  • change orders – variations to the agreed scope
  • payment – entitlements, timing and valuation
  • completion – both partial/practical and final
  • recovery of additional costs incurred
  • disputes

Dispute Resolution

ITC will work with you to attempt to negotiate a commercially acceptable settlement of any issues that arise at the earliest possible time.

Where there is an issue regarding payment that cannot be resolved by negotiation, and where the goods and/or services that you have provided are related to building and construction, we can guide you through complying with the strict timing requirements of both contractual requirements and also any legislative mechanisms that may affect progress payments.

ITC’s lawyers provide strategies and represent you as needed in addressing disputes in all forums ranging from mediation, expert determination or arbitration and when all else fails, litigation in the appropriate court.

Training & Education

We offer both individual and small group training to ensure the members of your ‘Project Delivery Team’ are completely comfortable with the contract interpretation and administration aspect of their roles.

We will work with you to analyse your specific needs for staff training and package a specific mix of relevant on-site training, telephone support and, where appropriate, regular supervision to suit your budget and timing requirements.

ITC will ensure that your contract administration costs are minimised and that all entitlements and obligations under the relevant manufacturing and/or supply contract are dealt with in a timely and cost effective manner.

  • the reasons for the recommended action
  • what it is likely to cost to follow that recommended action
  • what it is likely to cost if you do not follow that recommended course of action
